Customer Service Agreement

This Customer Service Agreement (“Agreement”) is entered into between Forged Electric, LLC, a Wyoming limited liability company (“Contractor”), and the Customer named in the signature block below, for electrical work to be performed at the Service Address provided below. This Agreement incorporates by reference the Quote or Invoice number provided below, describing the scope and price of the Work.
1. Scope of Work
Contractor agrees to furnish the labor, materials, and supervision necessary to complete the electrical work described in the referenced Quote or Invoice (the “Work”). Any work not described there is outside the scope of this Agreement unless added by a signed Change Order under Section 3.
2. Fees & Payment Terms
Customer agrees to pay Contractor the amount stated in the Quote or Invoice. Payment is due within 15 days of the invoice date unless otherwise agreed in writing. Unpaid balances more than 30 days past due accrue interest at 1.5% per month (18% annually) or the maximum rate allowed by Wyoming law, whichever is less. Customer is responsible for reasonable collection costs, including attorney's fees, incurred by Contractor in collecting unpaid amounts.
3. Change Orders
Any change to the scope of Work, materials, or price must be documented in a written Change Order signed by both parties before the additional work begins, except in emergency circumstances necessary to protect life or property — in which case Contractor will notify Customer as soon as reasonably possible.
4. Permits & Code Compliance
Contractor will obtain permits required for the Work and will perform all Work in accordance with the National Electrical Code (NEC) and applicable Wyoming and local code requirements. Customer agrees to provide Contractor reasonable access to the Service Address for any required inspections.
5. Staffing — Licensed Master Electrician
All Work performed under this Agreement is performed personally by Austyn Matthews, the Owner and licensed Wyoming Master Electrician of Forged Electric, LLC. Contractor does not subcontract Work and does not dispatch apprentices, journeymen, or other personnel to perform Work without the Owner on-site.
6. Customer Responsibilities
- Provide safe, clear access to the work area and any relevant utility shut-offs.
- Disclose known hazards, prior electrical work, or code violations at the Service Address before Work begins.
- Secure pets and keep the work area clear of personal property that could obstruct the Work.
- Obtain any necessary approval from a landlord, homeowners' association, or property owner before Work begins, if applicable.
7. Pre-Existing & Concealed Conditions
Contractor is not responsible for damage or additional cost arising from pre-existing wiring, code violations, or concealed conditions that are not visible or reasonably discoverable before Work begins. If such conditions are discovered during the Work, Contractor will notify Customer and provide a Change Order for approval before proceeding with any related additional work.
8. Warranty
Contractor warrants its workmanship for one (1) year from the date of completion. This warranty covers defects in workmanship only and does not cover damage from misuse, alteration, or work performed by others after completion, pre-existing conditions, acts of God, or normal wear. Manufacturer warranties on materials and equipment (such as panels, generators, and fixtures) are passed through to Customer and are administered by the manufacturer, not Contractor.
9. Limitation of Liability
To the maximum extent permitted by Wyoming law, Contractor's total liability under this Agreement is limited to the total amount paid by Customer for the Work giving rise to the claim. Contractor is not liable for indirect, incidental, or consequential damages, including lost income or lost use, arising from the Work.
10. Insurance
Contractor maintains general liability insurance, commercial auto insurance, and workers' compensation coverage as required by Wyoming law. A certificate of insurance is available to Customer upon request.
11. Cancellation
Customer may cancel scheduled Work by providing at least 24 hours' notice without charge, except for the cost of materials already special-ordered for the job. Cancellations with less than 24 hours' notice may be subject to a trip or cancellation fee as stated in the Quote.
12. Right to Suspend Work
Contractor may suspend Work if payment is not received according to the terms of this Agreement, or if Contractor reasonably believes continuing the Work would be unsafe due to site conditions outside Contractor's control. Contractor will provide notice to Customer before suspending Work where reasonably possible.
13. Notice of Right to Lien (Wyoming Law)
This notice is provided to preserve Contractor's lien rights under Wyoming law and does not indicate any dispute or unpaid balance.
14. Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including weather, natural disaster, labor disputes, material shortages, or acts of government.
15. Dispute Resolution & Governing Law
This Agreement is governed by the laws of the State of Wyoming. The parties agree to first attempt to resolve any dispute through good-faith negotiation and, if unresolved, through mediation before pursuing litigation. Venue for any legal action lies in the county where the Service Address is located.
16. Entire Agreement; Amendment; Severability
This Agreement, together with the referenced Quote or Invoice, constitutes the entire agreement between the parties and supersedes all prior discussions. It may only be amended in writing signed by both parties. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
